By accepting or fulfilling any portion of the purchasing agreement or contract purchase order by Osprix Logistics, the seller shall agree to the identified Terms & Conditions.

Terms & Conditions

TC01 — Osprix requires sellers maintain proper identification and revision status on specifications, drawings, work instructions, and technical documentation per AS9120 8.4.3.a.

TC02 — Osprix reserves rights for final product/service approval, processes, and equipment used. The organization may designate verification or validation activities at seller’s premises per AS9120 8.4.3.b, 8.4.3.f.

TC03 — “All orders filled by external providers be carried out by competent qualified personnel” with competency verification by Osprix per AS9120 8.4.3.c.

TC04 — Osprix specifies requirements for external provider interaction including documentation use, telephone/fax/email communication, and documented records per AS9120 8.4.3.d.

TC05 — External providers must meet minimal performance requirements for on-time delivery and product conformity. Failure may result in a Supplier Corrective Action Request. Osprix assesses external provider risk and may require mitigation actions per AS9120 8.4.3.e.

TC06 — Where design and development occurs on behalf of Osprix or its customer, providers must implement processes for requirements, verification, validation, and change control. All approvals must be carried out by Osprix or its customer per AS9120 8.4.3.g.

TC07 — All products shall be suitably marked and packaged using industry best practices or Osprix-defined requirements. Delivery must align with buyer requirements. Osprix may approve or specify special requirements and key characteristics per AS9120 8.4.3.h.

TC08 — Osprix requires sellers implement and maintain a certified quality system that:

  • Ensures use of customer-approved external providers
  • Notifies Osprix of nonconforming material, escapes, or product recalls
  • Prevents use of unapproved and counterfeit parts
  • Notifies Osprix of changes to processes, products, or services
  • Flows down all applicable requirements to external providers
  • Provides certificates of conformity, test reports, or authorized release certificates
  • Retains all records for a minimum of 10 years with controlled disposal methods
  • Makes records available upon request to Osprix, customers, and regulatory authorities

Alternatively, Osprix may conduct an audit or survey at its discretion.

TC09 — Osprix requires sellers agree to access rights by the organization, its customer, and regulatory authorities to applicable facility areas and documented information at any supply chain level.

TC10 — Osprix requires sellers ensure persons understand their contribution to product/service conformity, product safety, and the importance of ethical behavior.
